Terms of Use & Disclaimer
Last updated: October 15, 2026. By using failedacquisition.com (the "Site") you agree to these terms. If you don't agree, please don't use the Site.
1. What this Site is
The Site is an educational commentary project. It collects stories of business acquisitions that went wrong, as told publicly by the people involved, and summarises them into case studies so that other buyers can learn from them. It is run by an individual, not a law firm, accounting firm, broker or investment adviser.
2. Where the information comes from
Every case study is derived from publicly available sources: videos that their creators chose to publish on YouTube, and the subtitles those videos carry. The Site does not host the videos. They are embedded using YouTube's own player and remain the property of their creators, subject to YouTube's terms. Short quotations are reproduced only to identify and discuss the point being made, with a link to the exact moment in the original video.
The Site does not independently verify the facts in any video. Names, amounts, dates and events are as stated by the narrator, who is usually one party to the deal and may be mistaken, biased or incomplete. Where the Site could not confirm something, it says so (for example "not stated" or "approx.").
3. The analyses are generated by AI
The summaries, timelines, issue lists, "warning signs", "how to prevent it" items, checklists and takeaways are produced by an automated language model from the video's transcript. Transcripts are often auto-generated and contain errors; the model can misread, over-simplify or draw conclusions the narrator never made. Items marked "AI inference" are explicitly the model's interpretation. Treat every case study as a starting point for your own reading of the original video, not as a statement of fact.
4. Not professional advice
Nothing on the Site is legal, financial, investment, tax, accounting or business advice, and nothing creates a professional or fiduciary relationship. Buying or selling a business involves significant risk. Before acting on anything you read here, consult qualified professionals who know your situation. Any decision you make, and any outcome of it, is yours alone.
5. No warranties
The Site and all of its content are provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, completeness, timeliness, fitness for a particular purpose and non-infringement. The Site may be changed, interrupted or discontinued at any time.
6. Limitation of liability
To the fullest extent permitted by law, the operator of the Site will not be liable for any direct, indirect, incidental, consequential, special or punitive damages, or for any loss of money, profits, business, data or opportunity, arising out of or connected with your use of the Site or your reliance on anything in it, even if advised of the possibility of such damages. Where liability cannot be excluded, it is limited to the greater of the amount you paid to use the Site (which is nothing) and US$10.
7. Content from other people
Videos, transcripts and quotations belong to their creators. Opinions expressed in videos are the narrators' own. The Site does not endorse them and is not responsible for them. Links to external sites are provided for convenience; the Site has no control over, and accepts no responsibility for, their content.
Creators: if you are the owner of a video featured here and want it removed or corrected, contact us (section 11) with the video link. Reasonable requests are honoured promptly.
8. The discussion board and your content
You must be at least 18 to create an account. You are responsible for everything you post. By posting you confirm that you have the right to post it and you grant the Site a non-exclusive, worldwide, royalty-free licence to display, store and reproduce it as part of the Site. You keep ownership.
Don't post anything unlawful, defamatory, harassing, threatening, obscene or deceptive; anyone's private or confidential information (including non-public deal terms you're bound to keep confidential); spam or advertising; or anything that infringes someone else's rights. Deleted comments may remain visible as "[deleted]" to keep threads readable. The operator may edit, remove or refuse any content and may suspend or delete any account, at any time and for any reason, without notice.
You will indemnify and hold harmless the operator from any claim, loss or expense (including reasonable legal fees) arising from your content or your breach of these terms.
9. Acceptable use
Don't scrape, overload, attack or attempt to gain unauthorised access to the Site, its accounts or its data; don't use automated tools to post or vote; don't impersonate anyone.
10. Changes and governing law
These terms may be updated at any time; the date at the top tells you when. Continued use after a change means you accept it. These terms are governed by the laws of the operator's place of residence, and any dispute will be brought in the courts there, unless mandatory law in your country gives you other rights.
